PART TWO

Terms of Service

These Terms govern your use of platforms and services operated by BangoPure Limited (registered in England & Wales) and BangoPure Europe Limited (registered in Ireland) — together "BangoPure". Together with our Privacy Policy and any service-specific supplementary terms, they form the contractual framework between BangoPure and you.

Definitions

The following defined terms apply throughout these Terms. Definitions in Part One (Privacy Policy) apply equally unless otherwise stated:

'BangoPure'BangoPure Limited and/or BangoPure Europe Limited, as the context requires. References to 'we', 'us', or 'our' carry the same meaning.
'Platform'Any website, application or service operated by or on behalf of BangoPure.
'User'Any individual or entity that accesses or uses a Platform.
'Seller'A User who lists products or services on a BangoPure marketplace.
'Buyer'A User who purchases through a BangoPure marketplace.
'DPP'Digital Product Passport — the electronic record produced by the TRACE service.
'Event'Any in-person, hybrid or virtual event organised or facilitated by BangoPure.
'Delegate'A registered attendee of a BangoPure Event.
'Content'Any material submitted, posted or transmitted by a User through a Platform.
'Intellectual Property'All intellectual property rights, whether registered or unregistered.
'Subscription'A recurring paid membership to a BangoPure service tier.
'Force Majeure'Any event beyond BangoPure's reasonable control, including acts of God, war, terrorism, pandemic, governmental action, cyberattack, infrastructure failure or natural disaster.
'Credit Note'A non-refundable credit issued in lieu of a cash refund under BangoPure's cancellation policy.

Acceptance and Formation of Contract

These Terms, together with any service-specific supplementary terms, order forms or written agreements referenced here, constitute the entire agreement between you and BangoPure for your use of the Platforms.

You accept these Terms by any of the following:

  • Completing a BangoPure registration or account creation flow
  • Clicking 'I Agree', 'Accept', 'Register', 'Subscribe', 'Purchase' or any similar affirmative action
  • Accessing or continuing to use any BangoPure Platform after publication of these Terms
  • Making any payment to BangoPure
  • Attending a BangoPure Event
  • Signing a BangoPure agreement that incorporates these Terms by reference

If you are accepting these Terms on behalf of an entity, you warrant that you have authority to bind that entity. References to 'you' then refer to that entity.

Account Registration and Security

Registration

  • Information provided during registration must be accurate, current and complete. False or misleading information is a material breach of these Terms.
  • Business accounts must provide accurate company registration details.
  • Accounts are personal and non-transferable.

Security

  • You are responsible for the confidentiality of your credentials, including any password or multi-factor device.
  • You must notify BangoPure immediately at security@bangopure.com if you become aware of any unauthorised access to your account.
  • BangoPure will never ask for your full password.

Identity Verification

BangoPure may require identity verification where reasonably necessary, including before processing payouts, issuing event support documentation, or where there are reasonable grounds to suspect fraud or misrepresentation. Failure to complete verification may lead to temporary restriction of the account.

Single Sign-On

Where BangoPure operates Single Sign-On across its services, a single account provides access to the services your tier permits. Logging in to a BangoPure service may generate authentication records used to operate the platform.

TRACE — Digital Product Passport

  • The TRACE service issues Digital Product Passports designed to be compatible with the EU Ecodesign for Sustainable Products Regulation (Regulation (EU) 2024/1781) and related sectoral regulations as they come into force. BangoPure updates the schema as regulatory requirements are finalised.
  • Users submitting product data warrant that the data is accurate. Submission of fraudulent or misleading material to the TRACE service is a serious breach of these Terms and may constitute an offence under the Fraud Act 2006 or equivalent legislation.
  • Verification outputs and Digital Product Passports may include immutable on-chain anchors. Users acknowledge and accept the immutability characteristics described in the Blockchain Data and Immutability Notice section of the Privacy Policy.
  • Where an automated verification outcome materially affects a User, the User has the right to request human review of that outcome.
  • BangoPure provides the TRACE infrastructure. Users remain responsible for ensuring that the product data submitted is complete and legally sufficient for their specific regulatory purposes.

TRANSFORM — Waste-to-Wealth

  • TRANSFORM is the BangoPure marketplace for verified upcycled and waste-derived products.
  • All products listed must meet the recycled-content and verification criteria published in the applicable marketplace standards. Products that do not meet those criteria will be rejected.
  • The automated material verification outcome is subject to the human review right described in the TRACE section.
  • Sellers warrant that any environmental or recycled-content claim made in a listing is accurate, substantiable and compliant with the UK Green Claims Code, the EU Green Claims Directive and applicable advertising standards.
  • BangoPure may feature curated listings on TRANSFORM marketing surfaces. Sellers grant a non-exclusive licence for that use.

MARKET — Eco Marketplace

Seller Obligations

  • All Sellers must complete BangoPure's onboarding before listing a product, including identity and, where applicable, business verification.
  • Listings must be accurate and not misleading. Product images must be authentic and representative of the item offered.
  • Sustainability claims must be accurate, substantiable and compliant with the UK Green Claims Code, the EU Green Claims Directive and applicable advertising standards.
  • Listings are subject to BangoPure's verification process. Listings that fail verification may be held pending review or rejected.
  • Sellers are responsible for all applicable taxes on their income. BangoPure's commission deduction does not affect Sellers' tax obligations.
  • Commission rates and payment terms applicable to a Seller are set out in the Seller Agreement or pricing schedule in force at the time of listing.

Buyer Protections

  • Buyers are entitled to a refund of the purchase price where a product is not as described or fails to arrive within the confirmed delivery window.
  • Disputes must be raised through BangoPure's Resolution Centre within the timeframe published in the buyer protection terms. BangoPure acts as a neutral facilitator.
  • Buyer protection does not extend to losses arising from Buyer error or from clearly-disclosed no-return policies on bespoke goods.

Prohibited Products

The following may not be listed on any BangoPure marketplace:

  • Products that do not meet the sustainability criteria published in BangoPure's Product Eligibility Standards
  • Counterfeit goods or goods infringing any third party's intellectual property rights
  • Goods that misappropriate any artisan community's traditional knowledge or cultural heritage
  • Goods illegal to sell in the relevant jurisdiction
  • Goods subject to export control, sanctions or embargo restrictions
  • Goods containing materials classified as hazardous or restricted under applicable trade regulations

VERIFY — ESPR Verify

  • VERIFY is the public re-verification surface for Digital Product Passports issued through the TRACE service.
  • Independent re-verification is provided as a checking surface against the published anchor. BangoPure does not warrant the legal admissibility of a re-verification output in any specific jurisdiction.
  • Users must not use VERIFY to enumerate accounts, identifiers or product references, or to scrape verification data outside the access scope permitted by these Terms.
  • Where re-verification flags an inconsistency, Users are encouraged to raise it through the contact channel published on the VERIFY page.

LEARN — ReMaterial Academy

  • LEARN delivers training and certification programmes aligned with the ISO 59000 family of circular-economy standards.
  • Enrolment fees, examination fees and certification fees are as published on the relevant LEARN programme page at the time of enrolment.
  • Academy credentials, once issued, may be anchored to a public distributed ledger as tamper-evident credentials. The holder is responsible for any disclosure of credential details.
  • Where a student withdraws after commencement, refunds are calculated for the uncompleted modules on a pro-rata basis, in accordance with the published refund policy.
  • Course materials, assessments and curriculum content are the exclusive intellectual property of BangoPure. Students receive a personal, non-exclusive licence to use materials for their own learning.
  • BangoPure may revoke a credential where it was obtained by fraud, misrepresentation, plagiarism or improper use of automated tools where prohibited.

CATALYST — Events

Registration and Tickets

  • Event registrations and ticket purchases are subject to the specific terms published in the relevant event's registration materials and to the terms of any third-party ticketing partner used for that event.
  • Tickets are generally non-transferable unless expressly stated otherwise in the event terms.
  • Attendance implies consent to photography and recording for documentary and promotional purposes. If you do not wish to appear in promotional materials, notify BangoPure in writing in advance of the event.

Delegate Programmes

The specific inclusions, eligibility criteria and payment terms of any delegate programme are set out in the published programme materials for that event. Programme participation requires payment in cleared funds in accordance with those materials before any support documentation is issued. Where a delegate cancels, the cancellation terms published with the programme apply, and any administrative fee or credit-note treatment will be applied as published.

Visa Support

Where BangoPure provides a visa support letter, the letter is issued as a courtesy. Delegates are responsible for their own visa applications. BangoPure accepts no liability for visa refusal or delay.

Cancellation

Where BangoPure cancels or postpones an event for reasons of Force Majeure, a Credit Note will be issued for the delegate's paid amount, valid for the rescheduled or next event. Where BangoPure cancels for any other reason, a refund or Credit Note is available at the delegate's election in accordance with the published cancellation terms. Delegate-initiated cancellations are subject to the administrative-fee and Credit Note treatment set out in the programme materials.

User Content

Your Licence to BangoPure

By submitting Content to a Platform, you grant BangoPure a worldwide, royalty-free, sublicensable, non-exclusive licence to host, reproduce, modify, translate, publish and display that Content in connection with operating and improving the Services. Where Content forms part of an on-chain record, the licence continues for as long as that record exists. You warrant that you own or have the necessary rights to grant this licence.

Responsibility

You are solely responsible for the Content you submit. BangoPure does not endorse User Content.

Prohibited Content

You must not submit Content that:

  • Is false, misleading or capable of deceiving consumers about a product's sustainability, origin or credentials
  • Infringes a third party's intellectual property rights
  • Misappropriates an artisan community's traditional knowledge or cultural heritage
  • Promotes hate speech, discrimination, harassment or violence
  • Constitutes unsolicited commercial communication
  • Contains viruses, malware or other malicious code
  • Violates any applicable law or regulation
  • Constitutes greenwashing in breach of the UK Green Claims Code, the EU Green Claims Directive or equivalent regulations
  • Depicts or facilitates the exploitation of workers or child labour
  • Constitutes price-fixing or other anti-competitive conduct

Intellectual Property

All Intellectual Property in and to the Platforms, services, technology, software, brand identity, trade marks, course materials and event materials is and shall remain the exclusive property of BangoPure.

  • Nothing in these Terms grants you ownership of any BangoPure Intellectual Property. Any licence granted is personal, non-exclusive, non-sublicensable, non-transferable and revocable upon breach.
  • You must not copy, reverse engineer, decompile or create derivative works from BangoPure software or platform technology without prior written consent.
  • You must not scrape, data-mine or use automated tools to extract data from a Platform without prior written consent.
  • BangoPure trade marks and service marks may not be used without a current, valid licence.

Payment Terms

  • All fees are payable in accordance with the pricing schedule applicable at the time of purchase, subscription or contract execution. BangoPure may amend its pricing with reasonable notice to existing subscribers.
  • Prices are exclusive of applicable taxes unless stated otherwise. Tax treatment for cross-border transactions is determined under the applicable tax legislation.
  • BangoPure accepts payment through regulated payment processors. Available methods are presented at checkout. Payment must be in cleared funds before paid access is granted.
  • Subscriptions renew automatically unless cancelled before the renewal date. Cancellation must be effected through your account settings or by contacting billing@bangopure.com in accordance with the subscription terms.
  • Statutory cancellation rights apply where required by law.
  • Late payment will attract interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 or equivalent applicable legislation.

API and Developer Integration

  • API access requires execution of a separate API Developer Agreement and payment of the applicable licence fees.
  • Rate limits and usage quotas are set out in the API Developer Agreement and may be enforced through throttling.
  • API integrations must comply with the API Integration Standards published by BangoPure. Endpoint deprecation will be notified in accordance with the API Developer Agreement.
  • API clients must not build any service that directly competes with a BangoPure core service without prior written consent.

Prohibited Conduct

The following conduct is strictly prohibited on all Platforms. Breach is a material breach of these Terms entitling BangoPure to take all available remedies, including immediate account termination and referral to authorities:

  • Submitting false, fraudulent or misleading information to BangoPure
  • Impersonating any person or entity, including BangoPure staff
  • Circumventing or interfering with security or rate-limiting controls
  • Conducting or facilitating any denial-of-service attack
  • Attempting to access BangoPure infrastructure beyond the access expressly provided
  • Automated scraping or crawling of Platform data without written authorisation
  • Using a Platform to facilitate money laundering, terrorist financing or other financial crime
  • Manipulating automated verification outcomes through fraudulent submissions
  • Reselling or sublicensing a Service or its data without authorisation
  • Using BangoPure trade marks without a current valid licence
  • Making greenwashing claims in any listing, profile or communication
  • Engaging in shill bidding, fake reviews, artificial inflation of metrics or manipulation of ranking systems

Suspension and Termination

Termination by You

You may terminate your account at any time by contacting support@bangopure.com or through your account settings. Access to paid services ceases at the end of the current billing period, with no pro-rata refund except as required by law.

Suspension and Termination by BangoPure

BangoPure may suspend your account immediately and without prior notice where there is suspected fraudulent, abusive or illegal activity, where the account is the subject of a legal enquiry, where you are in material unremedied breach of these Terms, where KYC documentation is falsified, or where continued access presents an imminent risk to the Platform or to other users.

BangoPure may terminate your account permanently for serious unremediable breach of these Terms or for conduct incompatible with BangoPure's published values, including persistent greenwashing or exploitation of artisan communities. Termination decisions may be appealed in writing to legal@bangopure.com.

Warranties and Disclaimers

BangoPure's Warranties

  • BangoPure has the authority to enter into these Terms.
  • The Services will be delivered with reasonable skill and care.
  • BangoPure will use commercially reasonable efforts to maintain platform availability consistent with the applicable service-level commitments.

Disclaimers

Subject to the Non-Excludable Rights section below:

  • The Platforms and Services are provided on an 'as is' and 'as available' basis. Except as expressly stated, BangoPure makes no warranty, express or implied, including no implied warranty of merchantability, fitness for a particular purpose or non-infringement.
  • BangoPure does not warrant that the Platforms will operate error-free or without interruption.
  • Automated verification outputs are BangoPure's best technological determination and do not constitute absolute scientific proof.
  • BangoPure does not independently verify the accuracy of User-submitted information except through its verification processes.

Indemnification

You agree to indemnify, defend and hold harmless BangoPure, its affiliates and their respective officers, directors, employees, agents, successors and assigns from any claims, liabilities, damages and reasonable costs arising out of:

  • Your breach of these Terms
  • Your breach of any applicable law
  • Your Content, including any claim of infringement
  • Your products, including any product liability or regulatory claim
  • Your wilful misconduct, fraud or negligence
  • Any third-party use of your account, whether or not authorised

BangoPure will notify you of any indemnifiable claim as soon as reasonably practicable, will provide reasonable cooperation, and will not settle without your prior written consent (not to be unreasonably withheld).

Limitation of Liability

Please read this section carefully

This Section limits BangoPure's liability to you. It does not affect any liability that cannot lawfully be limited or excluded.

Exclusion of Consequential Loss

To the fullest extent permitted by applicable law, BangoPure shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, revenue, business, contracts, anticipated savings, goodwill or data, or for any indirect, incidental, special or consequential loss, even if advised of the possibility.

Cap on Liability

BangoPure's total aggregate liability in respect of all claims arising under or in connection with these Terms shall not exceed the fees paid by you to BangoPure under the applicable service or transaction in the period immediately preceding the event giving rise to the claim, as further described in the relevant order form or service agreement.

Non-Excludable Rights

Nothing in these Terms excludes or limits BangoPure's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded under applicable consumer-protection legislation.

Force Majeure

BangoPure is not in breach of these Terms, and is not liable for any failure or delay, to the extent caused by a Force Majeure event, provided that BangoPure notifies you as soon as reasonably practicable and takes reasonable steps to mitigate. Where a Force Majeure event continues beyond the period set out in the applicable agreement, either party may terminate the affected contract on written notice.

Third-Party Services

Platforms may contain links to or integrations with third-party services. BangoPure does not endorse and is not responsible for any third-party content. Your use of any third-party service is governed by that party's terms. Payment processing, ticketing, identity verification, single sign-on, security, content delivery and on-chain anchoring may be provided by third-party partners, each subject to its own terms.

Confidentiality (Corporate Clients)

Where BangoPure and a corporate client have not signed a separate non-disclosure agreement, the following mutual confidentiality obligations apply from the start of the service relationship:

  • Each party will treat as confidential all non-public, commercially sensitive information disclosed by the other ('Confidential Information').
  • Neither party will disclose the other's Confidential Information to any third party without prior written consent, except to employees, contractors or professional advisers on a need-to-know basis under equivalent obligations.
  • The obligation does not apply to information that is or becomes public without breach, was lawfully held before disclosure, was received from a third party without breach of any obligation, or is required to be disclosed by law.
  • The confidentiality obligations survive termination for the period set out in the applicable agreement.

Anti-Corruption, Anti-Slavery and Sanctions

  • Anti-Bribery: Neither party will engage in any act that constitutes bribery, corruption or facilitation of bribery under the Bribery Act 2010, the US Foreign Corrupt Practices Act or equivalent legislation.
  • Anti-Slavery: BangoPure is committed to the objectives of the Modern Slavery Act 2015 and does not tolerate slavery, forced labour, child labour or human trafficking. Sellers must comply.
  • Anti-Money Laundering: All transactions are subject to AML screening. BangoPure reports suspicious activity to the relevant authority as required by law.
  • Sanctions: BangoPure does not transact with individuals or entities subject to UK, EU, US or UN sanctions.

Ethical Trade and Artisan Protection

BangoPure's mission includes supporting artisan and emerging-market entrepreneurs on fair terms. Marketplace participants must not exploit, misrepresent or appropriate the work, identity or cultural heritage of artisan communities. Sellers must pay their suppliers fairly. Artisan sellers are entitled to a clear explanation of any listing rejection or account action.

Accessibility and Non-Discrimination

BangoPure's platforms are developed in accordance with the Web Content Accessibility Guidelines (WCAG) Level AA as a minimum standard. Accessibility issues can be reported to accessibility@bangopure.com.

BangoPure does not discriminate on the grounds protected by the Equality Act 2010 or equivalent applicable legislation.

Green Claims

BangoPure's own environmental claims are made on the basis of evidence and are subject to internal review. Users who make environmental, circular-economy or sustainability claims through a BangoPure surface warrant that the claim is accurate, substantiable and aligned with the UK Green Claims Code, the EU Green Claims Directive and the Unfair Commercial Practices Directive.

BangoPure may require evidence of any claim and may delist, suspend or refuse a listing where the evidence is missing or materially misleading. Repeat or wilful misrepresentation will result in termination.

Regulatory Framework

BangoPure operates within the following regulatory frameworks, among others:

Service Level Commitments

Service-level commitments applicable to corporate services are set out in the applicable order form or service agreement. Where an enterprise agreement provides specific service-level terms, those terms prevail.

Amendments

BangoPure may amend these Terms from time to time. Material amendments take effect after reasonable notice through the BangoPure website. For corporate clients on fixed-term contracts, amendments take effect at the next renewal unless required by law to apply sooner. Continued use after the effective date constitutes acceptance.

Notices

Formal notices to BangoPure must be delivered by email to legal@bangopure.com and, where appropriate, by post to the registered office of the contracting entity. BangoPure issues notices to you at the email address registered to your account; it is your responsibility to keep your contact details current.

Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales, subject to the EEA Users provision below.

EEA Users

Where you are a consumer located within the European Economic Area, nothing in these Terms affects your right to bring proceedings before the courts of your Member State, and the mandatory provisions of your local law apply to the extent required.

Ireland

Where your principal relationship is with BangoPure Europe Limited, these Terms are also construed in accordance with the laws of Ireland in respect of services delivered by that entity, and the Irish courts have non-exclusive concurrent jurisdiction.

Dispute Resolution

Before commencing formal legal proceedings, the parties will attempt to resolve any dispute through good-faith negotiation. If unresolved, either party may refer the matter to mediation through a recognised provider before commencing court proceedings. BangoPure may seek immediate injunctive or interim relief before any court of competent jurisdiction where necessary to protect its intellectual property, confidential information or business interests.

General

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, any applicable service-level commitments, order forms and service-specific terms, constitute the entire agreement between you and BangoPure and supersede prior agreements on the same subject matter.

Severability

If any provision is held invalid, that provision is severed to the minimum extent necessary and the remainder continues in effect.

Waiver

Failure or delay by BangoPure in exercising any right does not operate as a waiver.

Assignment

You may not assign or transfer your rights or obligations without prior written consent. BangoPure may assign to a subsidiary, affiliate or successor entity, provided that the successor assumes all obligations to you.

No Partnership

Nothing in these Terms creates any employment, agency, partnership or franchise relationship.

Language

These Terms are drawn up in English. Where translated, the English version prevails in the event of any inconsistency.

Pilot and design-partner status

BangoPure is currently onboarding pilot and design partners under separate written pilot agreements. Outside of those agreements, no production-grade availability, support or service-level commitment exists.

Liability under these Terms is scoped to the engagement you onboarded for; BangoPure is not liable for production losses arising from features still in pilot or design-partner phase.

Acceptable Use

When using a Platform or API, you agree not to:

  • Perform automated credential farming or unauthorised harvesting of platform data;
  • Bypass authentication, rate limits, anti-abuse controls or the consent banner;
  • Train or fine-tune a third-party model on BangoPure-issued credentials without an explicit licence;
  • Re-publish Digital Product Passport data outside the access scope permitted by the EU Data Act and the issuing manufacturer's terms;
  • Use a verifier or sign-up flow to enumerate users, accounts or product identifiers;
  • Upload Content that is unlawful, infringing or in breach of the green-claims clause.

Suspected breaches can be reported to abuse@bangopure.com. BangoPure may suspend access pending investigation.
